Person Company (OPC)
“One Person Company (OPC)” means a company is which has only one
person as a member;
The
memorandum of One Person Company shall indicate the name of another person as the
nominee, who shall, become the member of the company in the event of the
subscriber’s death. The written consent of such person shall also be filed with
the Registrar at the time of incorporation of the One Person Company along with
its memorandum and articles.
The nominee can withdraw his consent at any time. The member of
One Person Company can at any time change the name of nominee by giving a notice
and the change in nomination shall be intimated to the company about the
changes within the prescribed time and the company shall intimate the Registrar
about the changes in nomination within the prescribed time.

Bill 2011 (under the consideration of Parliament) envisages the concept of One
Person Company (OPC) in India. The same will be implemented once the Companies
Bill 2011 is passed by the parliament.
